Clients agree to pay all fees outlined in their service agreements. Payments are due as specified in invoices. Late payments may result in suspension of services or incur interest at the maximum rate permitted by law.
All proprietary tools, templates, data, and AI systems developed by SBM remain the sole property of SBM. Clients receive a non-exclusive license to use deliverables for internal business purposes upon full payment.
Both parties agree to maintain confidentiality of any sensitive or proprietary information shared during the engagement. Confidential data will not be disclosed to third parties except as necessary to perform the agreed services.
Your use of our services is governed by our Privacy Policy and PII Policy. These outline how we collect, use, and protect your personal information.
Either party may terminate the agreement if the other party materially breaches these Terms and fails to cure within 30 days of notice. Upon termination, clients are responsible for all fees owed for work performed up to that point.
SBM provides services using professional standards but makes no guarantees on specific outcomes such as rankings, traffic, or conversions, as these depend on multiple factors beyond our control.
To the fullest extent permitted by law, SBM’s liability for any claim shall not exceed the total fees paid by the client in the preceding twelve (12) months. SBM is not liable for indirect, incidental, or consequential damages.
You agree to indemnify and hold harmless SBM, its employees, and partners from any claims, losses, or damages arising out of your breach of these Terms or misuse of our services.
These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved through binding arbitration in Florida, unless otherwise agreed in writing.
SBM reserves the right to update or modify these Terms at any time. Continued use of our website or services after such changes constitutes acceptance of the updated Terms.
